Terms of Service

When you use ETHRA Ingredients’s website, request quotes, place orders, or engage our services, you are agreeing to these Terms of Service (“Terms”). Violation of these terms may, at our discretion, result in termination of your customer account and refusal of future orders.

We may update these Terms of Service at any time. If we make significant changes, we will refresh the date at the top of this page and notify active customers via email.

Definitions

“Company,” “we,” “our,” or “us” refers to ETHRA Ingredients, a Wyoming-based wholesale spirits supplier operating under TTB permit DSP-WY-21017.

“Services” refers to our website (ethraingredients.com), customer portal, and all products and services offered by ETHRA Ingredients, including but not limited to: wholesale spirits supply, bulk alcohol sales, product development, recipe development, barrel storage, and licensed production support.

“Products” refers to all spirits, distillates, flavor extracts, and related goods we manufacture or distribute, including whiskey, bourbon, rye, grain neutral spirits (GNS), gin, rum, tequila, brandy, liqueurs, and flavor extracts.

“You” or “your” refers to the business entity, its authorized representatives, and employees that engage with our Services or purchase our Products.

Buyer Eligibility

You must be a licensed business. Our Products are sold exclusively to properly licensed entities including:

• Licensed distilled spirits plants (DSP permit holders)

• Licensed importers and wholesalers

• Authorized manufacturers using spirits for approved commercial purposes

Verification required. We reserve the right to verify your licensing status before processing any order. You agree to provide valid federal and state permits upon request and to notify us immediately if your licensing status changes.

No consumer sales. We do not sell directly to consumers. By engaging our Services, you represent that you are purchasing for commercial business purposes, not personal consumption.

Account Terms

• You are responsible for maintaining the accuracy of your account information, including business name, licensing details, and contact information.

• You are responsible for all activity that occurs under your account, including orders placed by authorized employees or representatives.

• You agree to notify us immediately of any unauthorized use of your account.

• We reserve the right to refuse account registration or terminate accounts that do not meet our eligibility requirements.

Orders, Pricing, and Payment

Quotes and pricing. All quotes are valid for 30 days unless otherwise specified. Pricing may vary based on volume, market conditions, and product availability. Published pricing reflects spot purchase rates; bulk pricing and supply agreements are available for larger volumes.

Order acceptance. Submission of an order constitutes an offer to purchase. Orders are not binding until confirmed by ETHRA Ingredients in writing. We reserve the right to accept or reject any order for any reason.

Payment terms.

• New customers: Payment is due in full prior to shipment unless credit terms have been established.

• Established customers: Net 30 payment terms may be available upon credit approval.

• Pre-allocation deposits may be required to reserve aged whiskey inventory or custom production runs.

Taxes and duties. All prices are exclusive of applicable federal excise taxes, state taxes, and duties. You are responsible for all taxes associated with your purchase unless we are legally required to collect them on your behalf.

Shipping and Delivery

Shipping terms. Unless otherwise agreed in writing, all shipments are FOB Origin (our facility). Risk of loss transfers to you upon delivery to the carrier.

Carrier selection. We coordinate shipping logistics but you are responsible for carrier costs unless included in a negotiated agreement. Shipping options include drums, totes, and tanker transport depending on order volume.

Delivery inspection. You must inspect all shipments upon receipt and note any visible damage on the carrier’s delivery receipt. Claims for shipping damage must be filed with the carrier within 48 hours of delivery.

Storage services. Products stored in our bonded warehouse facilities remain your property. Storage fees apply as specified in your storage agreement. We maintain TTB-compliant records for all stored inventory.

Product Quality and Warranties

Quality assurance. All Products are manufactured in accordance with TTB regulations and industry standards. Certificates of Analysis (COA) and Safety Data Sheets (SDS) are available upon request.

Limited warranty. We warrant that Products will conform to their specifications at the time of delivery. This warranty does not cover defects caused by improper storage, handling, or use after delivery.

Claims. Quality claims must be submitted in writing within 14 days of delivery, accompanied by samples and documentation. Our liability is limited to replacement of non-conforming product or refund of the purchase price, at our discretion.

No other warranties. EXCEPT AS EXPRESSLY STATED HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Custom Services

Recipe development. Custom recipe development, product matching, and formulation services are subject to separate agreements specifying scope, fees, and minimum order requirements. Recipe development fees are non-refundable.

Intellectual property. Recipes and formulations developed by ETHRA Ingredients remain our intellectual property unless otherwise agreed in writing. You receive a license to use custom formulations for your approved products only.

Confidentiality. Both parties agree to maintain confidentiality of proprietary information shared during custom development projects.

Cancellations and Returns

Order cancellation. Orders may be cancelled without penalty if written notice is received before production begins. Once production has commenced or product has been allocated, cancellation fees may apply.

Returns. Due to the nature of our Products and regulatory requirements, returns are generally not accepted. Exceptions may be made for verified quality issues or shipping errors, subject to our approval.

Regulatory Compliance

TTB compliance. We operate under federal TTB regulations and maintain all required permits and records. You agree to comply with all applicable federal, state, and local laws regarding the purchase, transport, storage, and use of our Products.

Record keeping. We maintain records as required by TTB regulations. You agree to maintain accurate records of Products purchased from us as required by applicable law.

Export. International orders are subject to export regulations and additional documentation requirements. We assist with export compliance but you are responsible for ensuring Products meet your jurisdiction’s import requirements.

Intellectual Property

Our property. The ETHRA Ingredients name, logo, product names, website content, and proprietary formulations are our intellectual property. You may not use our trademarks or trade dress without written permission.

Your use. We grant you no rights to our intellectual property except as necessary to identify products purchased from us for resale or use in your own products, subject to applicable labeling regulations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETHRA Ingredients SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES OR PRODUCTS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR ANY ORDER SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify and hold harmless ETHRA Ingredients, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from:

• Your breach of these Terms

• Your violation of any law or regulation

• Your use, storage, or resale of our Products

• Any claims related to products you manufacture using our Products

Termination

We reserve the right to suspend or terminate your account and refuse current or future orders for any reason, including but not limited to:

• Violation of these Terms

• Loss or suspension of required licenses

• Non-payment or credit concerns

• Conduct that we determine, in our sole discretion, is harmful to our business

Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming. Any disputes arising from these Terms or your use of our Services shall be resolved in the state or federal courts located in Wyoming, and you consent to the jurisdiction of such courts.
